Bylaws

THE BY-LAWS OF THE SOUTHWEST PINZGAUER ASSOCIATION, INC.

ARTICLE I

This organization, founded in Mesa, Arizona in 2001, shall be known as the Southwest Pinzgauer Association, Inc.


ARTICLE II

Objectives

The Southwest Pinzgauer Association (herein named SWPA) is organized as a non-profit organization for the purpose of:

a. promoting the sport and past time of four wheel drive travel in all phases.
b. enjoying and protecting the natural resources, supporting the Multiple Use Principal as applied to public land, providing guidance with regard to ethical off-road activities.
c. promoting interest in the ownership and driving of Pinzgauer vehicles.
d. promoting, organizing, and holding outings, meetings, runs, excursions, reliability trials, hill climbs, cross-country trips, campouts, and similar events.
e. providing social, educational, and recreational activities for its membership.
f. participating in and supporting civic activities for the betterment of the 4-wheeling community.
g. adopting and maintaining a 4WD trail.
h. if possible, volunteering with a rescue squad as a community service.
 

ARTICLE III

Membership and Dues

1. Membership in the SWPA is open to all Pinzgauer enthusiasts as well as owners of other 4 wheel drive vehicles. While ownership of a Pinzgauer vehicle is not required, club activities are focused on Pinzgauers and related activities.
2. The Officers may choose to define membership types. The total number of memberships shall not be limited.
3. Each membership includes an individual and immediate family; however, voting is limited to the individual member. Address of residence shall be used for determination of immediate family.
4. Membership in the SWPA shall include concurrent membership in the Arizona State Association of 4 Wheel Drive Clubs.
5. All members and their guests are expected to conduct themselves in a respectable and orderly manner while participating in club activities. Any member not meeting this requirement may be subject to expulsion from the club at the discretion of the Officers.
6. There shall be no illegal behavior during any club-sponsored activity. Any member not meeting this requirement may be subject to expulsion from the club at the discretion of the Officers.
7. Applicants for membership must be at least 18 years of age (exceptions may be made at the discretion of the Officers).
8. All drivers participating in club-sponsored activities must have a valid driver's license and minimum vehicle insurance coverage as required by State Law.
9. The Officers shall determine annual dues for the organization. Dues shall be paid in advance. Any member whose dues are three months in arrears can be dropped from the rolls of the organization. Nothing herein contained shall prevent reinstatement of a delinquent member upon payment in full of his/her dues. A reinstatement fee may be assessed.
10. Members shall immediately notify the Secretary upon change of address, email address or telephone number.
 

ARTICLE IV

Meetings

1. Meetings of the membership of the SWPA shall be held at such times and places as may be designated by the Officers.
2. Membership in attendance shall constitute a quorum for a membership meeting where a vote is taken.
 

ARTICLE V

Administration and Officers

1. The officers of the SWPA shall consist of a President, Vice-President, and Secretary, Treasurer, Trailmaster/Land Use Officer, Sustaining Member. It shall be their duty to draw up an agenda for all membership meetings. Herin shall also be referred to as the Executive Committee.
2. No officer shall be added to the club except by the vote of the majority of the membership of the club.
 

ARTICLE VI

Duties and Powers of Officers

1. The President shall preside over all membership meetings and be present at all events whenever possible. S/He shall be the executive officer and shall have the duty to carry out the policies and decisions of the Officers.
2. The Vice- President in the absence of the President, shall serve in that capacity and perform such other duties as may be assigned by the President or Officers.
3. The Secretary shall keep and preserve all records and minutes of the meetings, shall keep a file system of membership, and shall receive and answer all general correspondence pertaining to the organization.
4. The Treasurer shall keep accurate and complete records of the funds and accounts of this organization and shall collect all dues and maintain a record thereof, shall sign checks and make disbursements of the funds of the organization as directed by the Executive Committee.
5. The Trailmaster/Land Use Officer shall organize and direct all club outings and events, and shall be responsible for maintaining order and safety during club events. If Trailmaster is unable to attend any event then an acting Trailmaster shall be appointed for that event at the discretion of the Officers.
6. The Sustaining Member shall create and maintain relationships with dealers and other vendors and represent their interests to the Executive Committee.
 

ARTICLE VII

Expenditures and Finance

1. All monies received from all sources shall immediately be turned over to the Treasurer to be deposited in the checking account of the SWPA.
2. No withdrawal from funds shall be made without the approval of the Executive Committee. All expenditures shall be made by check, and the item for which each check is drawn shall be designated on the face or reverse side thereof separately, stating the amount of each.
 

ARTICLE VIII

Committees

The Executive Committee shall designate committees, their scope and responsibilities.
 

ARTICLE IX

Election of Officers

1. Terms for all Officers shall be for one year, with no term limits.
2. The membership shall meet and elect officers each year at the annual meeting. A majority of votes cast is necessary for election to an office. The Secretary must receive candidate nominations at least one month prior to holding the election. Any officer of the club may be recalled by a majority vote of the entire membership.
3. Should an Officer be unable to complete his/her term, the Executive Committee shall seek and appoint a replacement to finish the term, or until the next election.
 

ARTICLE X

Amendments

These by-laws may be amended by a majority vote of the Membership.
 

ARTICLE XI

Firearms

The SWPA supports the Constitution of the United States.
Recreational firearms use during Club functions shall only be allowed during events designated by the Executive Committee as “A Firearm Event”. In such events a Rangemaster (designated by the Executive Committee) shall be responsible for event organization and maintaining safety and order.
